Julia Nagibina is a business attorney with extensive experience and the founder of Veritas Law Group. In this interview, she shares practical guidance for entrepreneurs in Chelyabinsk and the Urals region.
— Which is more straightforward: private business or government service?
I would focus less on the differences and more on what they have in common. Abraham Lincoln — the only U.S. president officially engaged in business during his tenure — practiced law successfully from an early age. He is credited with the words: “Give me six hours to chop down a tree and I will spend the first four sharpening the axe.” Sound preparation eliminates half of all problems.
— How has the business environment changed in recent years?
The chaotic 1990s are gone. Modern business does not tolerate impulsive decisions and operates on legal principles. Many of our clients built their wealth during that era of risk — and they now deeply value a solid legal foundation.
— How essential is an attorney for a business?
It is difficult to imagine a business that has no need for one. Commercial disputes, regulatory inquiries, labor conflicts — these are inevitable. An informal conversation with a “friend who is a lawyer” at the wrong moment can lead to substantial costs when trying to undo the consequences.
— LLC or sole proprietor — how does one choose?
The choice depends on the type of activity, the startup capital, and the business plan. Many assume that a sole proprietorship is simpler — personal liability for debts is a concern. But LLC founders also face risks: under certain circumstances, a court can hold them personally liable for the company’s debts, particularly in cases involving wage arrears and improper corporate governance.
— Which documents matter most at startup?
The company charter and the founders’ agreement, drafted with professional assistance. Templates downloaded from the internet offer no assurance of legal currency or protection of the founders’ interests.
— What violations are most commonly encountered?
Even basic retail trade requires health certifications, notifications to the Consumer Protection Authority (Rospotrebnadzor), tax filings, product certifications, and registration with an electronic fiscal data operator (OFD). Without these, there are penalties. In employment, labor agreements and workplace safety protocols are mandatory. Violations of occupational safety regulations result not only in fines but also in direct liability for workplace accidents.
— How does one protect a business idea?
A trademark, corporate identity, and logo are all registrable. An attorney will ensure your protection without inadvertently infringing on the rights of others.
— What is your principal advice to an entrepreneur?
Conduct all business activity in close coordination with an attorney. An attorney’s mistakes, like a physician’s, can have irreversible consequences. Choose your specialist carefully and work with them on an ongoing basis.
Frequently Asked Questions
How does an LLC differ from a sole proprietorship in terms of liability? A sole proprietor is personally liable for all business debts. An LLC participant’s liability is limited to their contribution to the charter capital. However, under certain circumstances — wage arrears, improper corporate governance — LLC founders may also incur personal liability.
Why does a business need an attorney from the very first day? Mistakes in choosing the legal structure, drafting the charter, or executing the first contracts cost far more to correct than the fees for professional legal advice from the outset. An informal tip from a “friend who knows law” at a critical moment often leads to substantial remediation costs.
Which documents matter most when establishing an LLC? The company charter and the founders’ agreement, drafted to reflect the actual arrangements between the founders. Templates downloaded from the internet do not address the specifics of any particular business and do not protect the founders’ interests in the event of a corporate dispute.
How do you protect a trademark, logo, or brand identity? Through trademark registration with Rospatent. A clearance search for similar registered marks is essential before filing: even a minor resemblance to an existing mark can result in refusal, so engaging a specialist for the search is advisable.
